By accessing or using CoDirect.AI (the "Platform", "Service", or "we"), including any services hosted under codirect.ai or through our application APIs, you agree to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.

If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.

CoDirect.AI provides a comprehensive suite of cloud-based screenplay parsing, AI script breakdown, cast & location telemetry analysis, scene scheduling tools, and secure review rooms.

AI-generated features, including auto-breakdowns, storyboard predictions, and script editing assets, are compiled using machine learning architectures. While we continually optimize these tools for production-grade reliability, you acknowledge that AI models may occasionally produce approximate or incomplete outputs. All final creative and scheduling determinations remain the sole responsibility of the film producer or screenwriter.

To access the Platform's features, you must register for an account and maintain valid billing credentials if using premium tiers. You are responsible for safeguarding your access credentials (email and password) and any session API keys.

You agree to immediately notify CoDirect.AI of any unauthorized use of your account or security breach. CoDirect.AI cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.

"Your creative assets are yours. We do not lay claim to your intellectual property or use your screenplays to train public machine learning datasets without your explicit consent."

You retain 100% ownership of all screenplay files, text inputs, images, costume mockups, and review comments uploaded to the Platform (collectively, "User Content"). You grant CoDirect.AI a limited, secure, and sandboxed license to parse, render, and display your assets solely for the purpose of providing the services to you and your invited crew members.

All code, designs, brand marks, and AI models native to CoDirect.AI remain the exclusive property of CoDirect.AI Inc.

Premium subscription tiers, storage limits, and AI usage allowances are governed by our pricing plans. By choosing a paid plan, you authorize us to charge your payment provider in accordance with the billing cycles.

Per-user file uploads are strictly tracked and enforced (default storage limit is 1 GiB per user on free plans, expandable under premium plans). Upload size quotas are managed in our secure S3 vaults. Exceeding your allocated storage limits may require upgrading your account plan or removing older production assets.

You agree not to misuse the Platform or help anyone else do so. Specifically, you must not:

• Probe, scan, or test the vulnerability of our secure networks or database schemas.
• Reverse-engineer or extract the model weights of our proprietary screenplay parsers.
• Upload malicious files, viruses, or use the Platform for unauthorized automated scraping.
• Violate the intellectual property rights or privacy rights of other crew members or third parties.

In no event shall CoDirect.AI or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on CoDirect.AI, even if CoDirect.AI or a CoDirect.AI authorized representative has been notified orally or in writing of the possibility of such damage.

These terms and conditions are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.
